Platform Terms for Firms

1. About these terms

These Platform Terms govern your organisation's access to and use of the Sigmentix platform ("Platform") as a Firm. By completing onboarding and accessing the Platform, the individual accepting these terms confirms they have authority to bind the organisation they represent, and that the organisation agrees to be bound by these terms.

These terms form a legally binding agreement between Sigmentix and your organisation.

Sigmentix is currently in the process of formal incorporation in Ireland. References to "Sigmentix", "we", "us", or "our" refer to the Sigmentix business trading from Ireland.

2. Key definitions

• Platform: Sigmentix AI-powered talent intelligence platform and tools at sigmentix.com.
• Firm: the organisation accepting these terms and accessing the Platform.
• Professional: senior/specialist professional with a profile in the Platform.
• Search: a talent search initiated by a Firm through the Platform.
• Match: a Professional whose publicly available experience and skills meet defined technical criteria.
• Market Intelligence: anonymised, aggregated insights where no individual is identifiable.
• Professional Data: personal data shared with a Firm when a Professional actively chooses to engage.

3. What the platform does and does not do

The platform does

• Let Firms define senior role requirements through the AI Search Agent.
• Match requirements against Professionals meeting defined criteria.
• Facilitate contact with Professionals who choose to engage.
• Provide anonymised, aggregated market intelligence and trend insights.
• Enable Professional data sharing only when Professionals actively choose to share.

The platform does not

• Act as a recruitment agency.
• Guarantee profile accuracy, suitability, availability, or successful hire timing.
• Make hiring recommendations or decisions for your organisation.
• Verify the accuracy of Professional-provided profile information.

4. Matching - how it works

The Platform performs a technical fit assessment against Firm-defined criteria. A Professional either meets criteria or does not. The Platform does not rank Professionals.

Match quality depends on information quality from both parties, including:

• Completeness and accuracy of Firm search requirements.
• Completeness and accuracy of Professional profile information.

Sigmentix is not responsible for incomplete or inaccurate matches caused by inaccurate, incomplete, or misleading inputs.

5. Your data protection obligations

When a Professional chooses to share data with your organisation, your organisation becomes an independent data controller of that data from that point. Sigmentix's processor role ends when the data is shared.

Your organisation agrees to:

• Comply with GDPR, Irish Data Protection Act 2018, and applicable data protection law.
• Use Professional Data only for evaluating the specific role interest unless separate explicit consent is given.
• Retain Professional Data only as necessary and proportionate for that evaluation purpose.
• Apply appropriate technical and organisational security measures.
• Respond lawfully and promptly to Professional rights requests.
• Not share Professional Data with third parties without the Professional's knowledge and consent.
• Not use Professional Data for unrelated marketing, database building, or other commercial purposes.

Sigmentix is not responsible for your compliance after sharing at the Professional's direction.

6. Diversity and non-discrimination

The Platform matches on technical experience and skills only. Protected characteristics must not be used in Platform decision-making.

• Age, gender, gender identity
• Ethnicity, nationality, race
• Religion or belief
• Disability or health status
• Sexual orientation
• Family status or caring responsibilities
• Any other protected characteristic under applicable law

Your organisation is responsible for compliance with applicable equality and anti-discrimination law.

7. Fees and payment

Applicable fees are set out at onboarding and/or separate order confirmations. By initiating Searches, your organisation agrees to pay applicable fees per provided payment terms.

• Fees are exclusive of VAT unless stated otherwise.
• Irish VAT applies where applicable.
• Sigmentix may suspend access for non-payment.
• Fees are non-refundable except where expressly provided or required by law.

8. Intellectual property

Platform technology, software, algorithms, content, and market intelligence are owned by or licensed to Sigmentix. These terms do not transfer intellectual property rights.

Market Intelligence may be used for your internal business purposes only and may not be redistributed, published, or commercialised without prior written consent.

9. Confidentiality

Non-public information exchanged in connection with the Platform, including search details, pricing, and functionality, is confidential and must not be disclosed without prior written consent except where required by law/regulation.

10. Limitation of liability

To the fullest extent permitted by Irish law:

• The Platform is provided "as is" without warranty of uninterrupted operation or outcomes.
• Sigmentix is not liable for profile data accuracy/completeness.
• Sigmentix is not liable for your hiring decisions or post-connection outcomes.
• Sigmentix is not liable for indirect, consequential, or economic loss from Platform use.
• Total liability is capped at fees paid in the 12 months before the claim event.

Nothing excludes liability that cannot be excluded under Irish law.

11. Suspension and termination

Sigmentix may suspend or terminate access if:

• These terms are breached (including data protection/equality obligations).
• Payment obligations are not met.
• Use is harmful to Professionals, other Firms, or Platform integrity.
• Required by law or regulation.

Your organisation may terminate by written notice to our Contact page. Pre-termination obligations survive.

12. Governing law and disputes

These terms are governed by Irish law and disputes are subject to the exclusive jurisdiction of the Irish courts.

13. Changes to these terms

Sigmentix may update these terms from time to time. Material changes are notified with reasonable notice before they take effect. Continued use after effective date is acceptance.
